Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and KOMPART LTD. By creating an account or using the KOMPART platform, you agree to be bound by these Terms.

1. About KOMPART

KOMPART is a passive fire compliance data platform operated by KOMPART LTD, a company incorporated in England and Wales (Company No. 17122960). The platform enables passive fire inspection contractors to capture structured compliance data and enables property management organisations to monitor building compliance status.

2. Eligibility and Account Registration

You may only create an account if you are:

Contractor accounts are subject to identity and accreditation verification before activation. Creating an account with false information, including false accreditation declarations, is grounds for immediate suspension and may constitute fraud.

3. Contractor Verification

All contractor accounts must pass verification before accessing platform features. During verification, KOMPART may review your company registration, declared accreditations, and publicly available information. KOMPART reserves the right to approve or decline any contractor application without giving reasons. Approval is typically communicated within 48 hours of submission.

You must notify KOMPART immediately if any accreditation or registration status changes after approval.

4. Subscription, Payment, and Service Availability

Contractor subscriptions are billed monthly via Stripe. Management subscriptions are invoiced monthly by KOMPART LTD. All prices are exclusive of VAT. Free trial periods are non-renewable. Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.

KOMPART reserves the right to modify pricing with 30 days notice. Continued use after a price change constitutes acceptance.

KOMPART aims for high platform availability but does not guarantee uninterrupted service. Scheduled maintenance and unscheduled outages may occur. No service credits or refunds are offered for downtime unless specifically agreed in writing with KOMPART LTD.

5. Data Ownership and Licence

You retain ownership of all inspection data, building records, and documents you upload to the platform ("Your Content"). By uploading content, you grant KOMPART a non-exclusive, worldwide licence to store, process, and display Your Content solely for the purpose of providing the platform services.

KOMPART will not sell, share, or disclose Your Content to third parties except as required by law or as described in the Privacy Policy.

7. Compliance Records, Warranties, Liability, and Indemnity

Nature of the service. KOMPART is a data capture and record-keeping platform. KOMPART does not conduct inspections, does not verify the accuracy of inspection data submitted by contractors, and does not provide legal, regulatory, or engineering advice. Inspection records, compliance statuses, risk scores, and enforcement documents generated by the platform are derived from data submitted by users and are only as reliable as that data.

Retained legal obligations. Nothing in these Terms or in your use of the KOMPART platform transfers, discharges, or diminishes any legal obligation that you, your organisation, any contractor, any responsible person, or any accountable person holds under the Regulatory Reform (Fire Safety) Order 2005, the Building Safety Act 2022, the Fire Safety (England) Regulations 2022, or any other applicable law. You remain solely responsible for compliance with your own legal duties.

Stage-one platform and early access. You acknowledge that KOMPART is a newly launched platform and that you are accessing it on an early-access basis. The platform is provided "as is" and "as available". To the maximum extent permitted by law, KOMPART disclaims all warranties, express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. KOMPART does not warrant that the platform will be error-free, secure, continuously available, or that any particular defect will be corrected within any specific timeframe.

Integrity and tamper-evidence. KOMPART applies SHA-256 content hashing to submitted inspection records and maintains an append-only audit log of platform events. These mechanisms are designed to make unauthorised alteration detectable by cryptographic comparison. They are provided on a best-effort basis and do not constitute a legal warranty, guarantee, or representation that any record is or will remain incapable of alteration, challenge, or disputation in any legal, regulatory, or insurance proceeding.

Limitation of liability. To the maximum extent permitted by law, KOMPART LTD's aggregate liability to any user, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the greater of (a) the total subscription fees paid by that user to KOMPART LTD in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one thousand pounds sterling (£1,000). KOMPART is not liable for any indirect, consequential, special, incidental, or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of business opportunity, regulatory fines, enforcement costs, or claims brought by third parties (including occupants, leaseholders, insurers, or regulators) arising from reliance on platform records. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

Indemnification. You agree to indemnify and hold harmless KOMPART LTD, its directors, officers, and employees from any claim, loss, damage, cost, or expense (including reasonable legal fees) arising from: (a) false or misleading information you submit to the platform, including false accreditation declarations; (b) your breach of these Terms or any applicable law; (c) inspection records you upload, generate, or rely upon; (d) any claim brought against KOMPART by a third party in relation to your use of the platform or reliance on records you have submitted or approved.

8. Termination

Either party may terminate a subscription at any time. KOMPART may suspend or terminate an account immediately for breach of these Terms, including false accreditation declarations, fraudulent use, or non-payment.

Upon termination, Your Content remains accessible for 30 days for export purposes. After 30 days, KOMPART may delete Your Content from active systems, subject to legal retention obligations.

9. Intellectual Property

KOMPART, its platform, brand, and software are the intellectual property of KOMPART LTD (UK Trademark UK00004362086, Class 42). You may not reproduce, reverse engineer, or create derivative works from any part of the platform.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

KOMPART may update these Terms from time to time. Material changes will be communicated by email with 14 days notice. Continued use of the platform after that date constitutes acceptance of the revised Terms.
